Terms of Service

1. Platform operator

The „Ceva Memorabil" platform (the „Platform") is operated by [COMPANY NAME] SRL, registered office at [REGISTERED ADDRESS], registered with the Romanian Trade Register under no. [J.../.../...], tax ID RO[CIF], e-mail contact@ceva-memorabil.ro (the „Operator").

These Terms govern your use of the Platform as a buyer („Buyer") or as a partner listing experiences („Partner"). By creating an account or purchasing a voucher, you agree to these Terms in full.

2. Definitions

• Experience — a leisure service offered by a Partner (class, workshop, sport activity, meal, spa session, etc.).
• Voucher — a unique code entitling its holder to a specific Experience under the published conditions.
• Open gift voucher — a Voucher with no fixed date, valid for 12 months from the date of purchase.
• Fixed-date voucher — a Voucher booked at purchase for a specific time slot.

3. Role of the Platform

The Operator is an information-society intermediary. The Operator is not the provider of the Experience and is not liable for the content, quality or actual performance of services offered by Partners. The Partner alone is responsible for performing the Experience.

The Operator facilitates the purchase of Vouchers and the processing of payments through the payment provider Stripe Payments Europe Ltd.

4. User accounts

Buyers do not need an account to purchase a Voucher. To manage their order, they receive a unique link by e-mail.

Partners create an account confirmed by e-mail and provide accurate information about their venue. The Partner is responsible for the accuracy of the data provided, for maintaining the confidentiality of their password, and for all activities under their account.

5. Purchasing vouchers

The displayed price is the final price you pay; no taxes or fees are added at checkout. Any VAT on the Experience is collected and reported by the Partner at the time the voucher is redeemed, in accordance with the Partner's tax status. Payment is made by card via Stripe. The Voucher is issued immediately upon payment confirmation and delivered by e-mail.

For fixed-date vouchers, the selected time slot is reserved at the moment of purchase; for open gift vouchers, the holder will later choose a date from the available slots or, where applicable, contact the Partner by phone.

6. Validity and redemption

Open gift vouchers are valid for 12 months from issuance unless otherwise stated at the time of purchase. At the venue, the holder presents the Voucher code; the code is consumed upon validation by the Partner and cannot be reused.

7. Right of withdrawal

Pursuant to G.E.O. no. 34/2014 on consumer rights in distance contracts (transposing EU Directive 2011/83):

1. Open gift vouchers. The Buyer has a 14-day right of withdrawal from the date of purchase, without penalty and without stating a reason, provided that the Voucher has not been redeemed (its code has not been validated by the Partner). A full refund is issued within 14 days, using the same payment method as the original transaction.
2. Fixed-date vouchers. Under art. 16(l) of G.E.O. no. 34/2014, the right of withdrawal does not apply to contracts for leisure services that provide for a specific date or period of performance. For such Vouchers, cancellations and refunds are governed exclusively by the Partner's cancellation policy, published on the Experience page.

To exercise the right of withdrawal, the Buyer sends a written notice to contact@ceva-memorabil.ro or uses the standard withdrawal form provided by G.E.O. no. 34/2014.

8. Refunds and cancellations

Outside the 14-day withdrawal window, the Operator is not obligated to issue refunds for unused Vouchers, but may do so on the Buyer's or Partner's request in justified cases (e.g. force majeure, Partner closure).

Where the Partner fails to perform the Experience for reasons attributable to them, the Buyer is entitled to a full refund.

9. Partner obligations

The Partner undertakes:

• to provide accurate and up-to-date information about listed Experiences, including prices, capacity, locations and conditions of use;
• to perform the Experiences booked through the Platform as advertised, to the standard a reasonable consumer would expect;
• to validate Vouchers when presented by holders and to inform the Operator promptly if performance becomes impossible;
• to hold all authorizations, licenses and insurances required for their activity.

The Partner maintains their account through a monthly subscription according to the plan they choose. Payments for validated Vouchers are made to the Partner via Stripe Connect or, where appropriate, by bank transfer, within 30 days of Voucher validation.

10. Limitation of liability

To the maximum extent permitted by law, the Operator is not liable for indirect damages, loss of profit, loss of data or service interruptions. The Operator's contractual liability towards any user is limited to the amounts collected from that user in the preceding 12 months.

This clause does not limit liability in cases of intentional fault, gross negligence, or in other circumstances where limitation of liability is prohibited by law, including imperative consumer rights.

11. Intellectual property

The „Ceva Memorabil" mark, the logo and the Platform source code are owned by the Operator. Images and descriptions of Experiences remain the property of the Partners who provided them; by listing them on the Platform, the Partner grants the Operator a non-exclusive, worldwide, royalty-free license to display them for the purpose of promoting the Experiences.

12. Changes to the Terms

The Operator may amend these Terms; changes take effect 30 days after publication. Changes that improve the user's position may take effect immediately. Continued use of the Platform after that date constitutes acceptance of the amended Terms.

13. Governing law and dispute resolution

This contract is governed by Romanian law. Any dispute will first be attempted to be resolved amicably; failing that, the courts at the Operator's registered office have jurisdiction.

Consumers are also entitled:

• to contact the Romanian National Consumer Protection Authority (ANPC) — anpc.ro;
• to use the European online dispute-resolution (ODR) platform — ec.europa.eu/consumers/odr.
